1. General provisions
Premium Selection Group (hereinafter — the Contractor) offers any legal entity or sole proprietor (hereinafter — the Client) to conclude a contract for the provision of services in one of the directions: Marketing & Research, Production, IT Solutions.
Acceptance of this offer is deemed to be the fact of payment of an invoice for a specific brief, or the signing of a Service Order.
2. Subject of the contract
The Contractor provides services in the scope and on the terms defined by a specific brief or Order. The composition of services by direction — on the corresponding pages of the website (M&R, Production, IT Solutions).
3. Cost and payment procedure
- The cost is defined in the brief/Order. Payment — in UZS, USD or AED by agreement.
- Standard procedure: 50% prepayment, 50% after delivery. Other schemes are possible (monthly subscription, milestone payments).
- M&R services on a "Marketing as a Service" basis — a monthly fixed fee under a retainer contract.
- VAT is included in accordance with the legislation of the jurisdiction (UZ / UAE).
4. Delivery deadlines
Deadlines are fixed in the brief/Order. The Contractor is not liable for delays caused by the Client's failure to provide materials, approvals or payment on time.
5. Rights and obligations
The Contractor undertakes: to provide the services on time, in the agreed scope, in compliance with PSG quality standards.
The Client undertakes: to pay for the services, provide the necessary materials and approvals, and not disclose confidential information.
6. Confidentiality and NDA
The parties undertake not to disclose commercial information that became known in the course of the work, for a period of 5 years from the moment of its receipt. Cases are published on the website only with the written consent of the Client.
7. Liability
The Contractor's liability is limited to the amount paid under the corresponding Order. The Contractor is not liable for indirect losses, lost profit, or reputational damage.
8. Force majeure
The parties are released from liability upon the occurrence of force majeure circumstances (natural disasters, military actions, acts of state authorities materially affecting the ability to perform).
9. Term and termination
The offer is valid until it is revoked by the Contractor. A contract for a specific brief is terminated by agreement of the parties or unilaterally with 30 calendar days' notice.
